“WHEREAS, pursuant to that certain Contribution Agreement (the “ Relevant Agreement ”), dated as of October 31, 2025, by and among each of the parties listed on Schedule 1 thereto and 800 Third Member LLC, a Delaware limited liability company and wholly-owned subsidiary of the Partnership (the “ Purchaser ”), the Purchaser has agreed to acquire certain membership interests in 800 Third Avenue Associates, LLC, a Delaware limited liability company, in exchange for, among other things, convertible preferred partnership units of the Partnership.”
