AGBA Group Holding Limited and Triller Corp. amend merger agreement
What happened
AGBA Group Holding Limited and Triller Corp. entered into an amended and restated merger agreement on Aug. 30, 2024. The agreement supersedes the original merger agreement.
Under the agreement, AGBA Social Inc. will merge into Triller Corp., which will survive as a wholly owned subsidiary of AGBA after its planned domestication as a Delaware corporation. The closing is subject to regulatory clearance, shareholder approval and other conditions.
