(“Green Thumb”), pursuant to which the Company acquired all of the equity interests in VCP IP Holdings, LLC (“VCP”).”

Agrify Corporation acquired VCP IP Holdings, LLC from VCP23, LLC for $50.0 million in cash. VCP’s assets consist primarily of intellectual property rights to several brands, including RYTHM, Beboe, Dogwalkers, Doctor Solomon’s, &Shine, and Good Green. [01]
Following the closing, VCP licensed certain intellectual property related to the acquired brands to GTI Core, LLC for use in its existing businesses. [01]
