What happened

Array Technologies, Inc. and Shoals Technologies Group, Inc. entered into a merger agreement on Nov. 4, 2026. Under the agreement, Shoals will become a wholly owned subsidiary of Array, subject to the agreement’s terms and conditions.

Shoals shareholders will receive 1.6931 shares of Array common stock for each share of Shoals common stock, with cash in lieu of fractional shares if applicable.
