On Feb. 24, 2026, BCPL entered into a merger agreement with ACIF. A BCPL subsidiary will first merge into ACIF, which will briefly continue as a wholly-owned subsidiary of BCPL. ACIF will then merge into BCPL, with BCPL as the surviving company. Terms weren't disclosed in dollar terms. [01]
ACIF shareholders are set to receive BCPL common stock based on an exchange ratio tied to each fund's net asset value per share, plus cash for fractional shares. Before closing, ACIF will also run a discretionary repurchase offer for up to 15% of its outstanding shares. [01]
Completion depends on approval from ACIF shareholders, an effective registration statement, regulatory approvals and other customary conditions. Either side can end the agreement if the first merger hasn't happened by Feb. 24, 2027. [01]
