What happened
Bitcoin Depot Inc. completed a restructuring involving BT Assets, Inc. on May 30, 2025. The transactions simplified the company’s organizational and capital structure and made BT HoldCo a wholly owned subsidiary of Bitcoin Depot Inc.
As consideration, Bitcoin Depot Inc. issued shares of Class M common stock and entered into a contingent equity rights agreement with BT Assets’ former stockholders.
