“On October 17, 2025 (the “ Closing Date ”), Capgemini S.E., a société européenne organized under the laws of France (the “ Buyer ”), completed the previously announced acquisition of WNS (Holdings) Limited, a public company incorporated under the laws of the Bailiwick of Jersey (the “ Company ” or “ WNS ”), pursuant to the terms of the Transaction Agreement (the “ Transaction Agreement ”) dated as of July 6, 2025, entered into by and between the Buyer and the Company, by means of a scheme of arrangement (the “ Scheme ”) under the Companies (Jersey) Law 1991 (the “ Transaction ”).”
