“As previously announced, on February 17, 2026, SM Energy Company (the “ Company ”) entered into a Purchase and Sale Agreement (the “ PSA ”) with Caturus Energy, LLC, a Delaware limited liability company and, solely for the purposes of Section 7.8 thereof, Caturus Holdco, LLC, pursuant to which the Company agreed to sell all of its rights, titles and interests in certain producing and non-producing assets encompassing approximately 61,000 net acres located in the Company’s southern Maverick Basin position in Webb County, Texas (the “ South Texas Divestiture ”).”

What happened

Caturus Energy, LLC has finished buying a package of producing and non-producing oil and gas assets from SM Energy Company. The assets cover about 61,000 net acres in the southern Maverick Basin in Webb County, Texas. The sale closed on April 30, 2026, under a purchase and sale agreement signed on Feb. 17, 2026. [01]

The cash purchase price was $950 million. SM Energy Company received net proceeds of about $900 million after preliminary adjustments and estimated costs, and the final price is still subject to customary post-closing adjustments. SM Energy Company plans to use the proceeds to redeem $819 million of its 2026 senior notes. [01]
