“As previously announced on February 2, 2026, Devon Energy Corporation, a Delaware corporation (the “ Company ” or “ Devon ”), Cubs Merger Sub, Inc., a Delaware corporation and a then direct, wholly-owned subsidiary of the Company (“ Merger Sub ”), and Coterra Energy Inc., a Delaware corporation (“ Coterra ”), entered into an Agreement and Plan of Merger, dated as of February 1, 2026 (the “ Merger Agreement ”), which provided for, among other things, the merger of Merger Sub with and into Coterra, with Coterra surviving as a direct, wholly-owned subsidiary of the Company (the “ Merger ”).”
