Dr Ashleys Limited agrees to acquire Dr Ashleys Bio Labs Limited in share exchange
What happened
On June 21, 2025, Dr Ashleys Limited and Impact BioMedical Inc. entered into a Merger and Share Exchange Agreement. Under the agreement, Dr Ashleys Limited will acquire all issued and outstanding ordinary shares of Dr Ashleys Bio Labs Limited from its sole shareholder.
The agreement also provides for Dr Ashleys Nevada Sub, Inc. to merge with and into Impact BioMedical Inc., with Impact BioMedical Inc. as the surviving entity. The transactions are subject to closing conditions.
