ContextLogic updates agreement for holding company reorganization
What happened
ContextLogic Inc., Easter Parent, Inc. and Easter Merger Sub, Inc. amended and restated their reorganization agreement on July 3, 2025. The reorganization would make ContextLogic Inc. a wholly owned subsidiary of Easter Parent, Inc.
The updated agreement provides that transfer restrictions will expire no later than the third anniversary of the reorganization.
