What happened

GCH Buyer, Inc., an indirect, wholly-owned subsidiary of ContextLogic Holdings, LLC, agreed to purchase the outstanding shares of EagleTree-Gaylord Holdings Corp. under a Stock Purchase Agreement entered into on August 4, 2026. [01]

The purchase price is $850 million in cash, subject to customary adjustments. The transaction is subject to customary closing conditions, including expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. [01]
