Knightscope, Inc. bought all of the membership interests in Event Risk LLC on Feb. 27, 2026, under a Securities Purchase Agreement with the seller, Eric Rose. Event Risk LLC offers security, executive protection, investigations and risk mitigation services across the United States. [01]

The total consideration is approximately $18.0 million. It includes a cash payment at closing, the discharge of debt, newly issued Knightscope, Inc. Class A common shares, and deferred cash installments running through 2028. Further earn-out and revenue share payments are possible. [01]
