“This Purchase Agreement (this “ Agreement ”) is made and entered into as of August 14, 2025 (the “ Effective Date ”), by and among (i) The RPWI Liquidating Trust , a Delaware liquidating trust (the “ Seller ”), (ii) Global First Power Limited, a Canadian corporation (the “ Company ” and, together with the Seller, the “ Seller Parties ”), (iii) Nano Nuclear Energy Inc. , a Nevada corporation (“ Buyer Parent ”), and (iv) Kronos MMR Inc. , a Nevada corporation (“ Buyer ” and, together with Buyer Parent, the “ Buyer Parties ”).”
