What happened

On July 13, 2026, SpringBig Holdings, Inc. entered into a Reorganization Agreement involving LS Round II, LLC. The transaction transferred all issued and outstanding equity interests in SpringBig, Inc., and substantially all of SpringBig Holdings, Inc.’s assets are now owned and controlled by LS Round II, LLC. SpringBig Holdings, Inc. was fully released from its obligations under the Notes, which had approximately $12.5 million of principal and accrued interest. [01]
