Old Republic has a Stock Purchase Agreement to buy ECM, a specialty farmowners' insurance business. The filing is an amendment to a registration statement covering the related plan of conversion. [01]
ECM's board backed the plan because it would give the company more capital and reinsurance capacity, and possible access to Old Republic's A.M. Best "A+" rating. ECM would run as an indirect wholly owned subsidiary and keep its name, headquarters and management team. Eligible Members could buy Old Republic stock at a discount of between 30% and 35% to market, and a charitable foundation with $5 million of capital would be set up for the farming community. [01]
The purchase price depends on an independent appraisal of ECM's estimated pro forma market value. No dollar figure is given. [01]
