What happened
Perception Capital Corp. III entered into a business combination agreement with RBio Energy Corporation, RBio Energy Holdings Corp. and Perception RBio Merger Sub. Under the agreement, RBio Energy’s stockholders will exchange their shares for shares of NewPubco, and Merger Sub will merge with Perception Capital Corp. III.
The transaction is subject to shareholder and stockholder approvals and other customary closing conditions.
