“On August 6, 2025, Percy Acquisition LLC (“Buyer”), a subsidiary of FTAI Infrastructure Inc. (the “Company”), entered into a stock purchase agreement (the “Agreement”) with WLE Management Partners, L.P. (“Seller”), pursuant to which, among other things, Buyer will purchase all of the issued and outstanding capital stock of The Wheeling Corporation (“Wheeling”) from Seller, for a base purchase price of $1.05 billion, subject to certain customary adjustments set forth in the Agreement (the “Transaction”).”
