What happened

RF Acquisition Corp III said on July 9, 2026 that it had entered into a business combination agreement with HCC Healthcare Pte. Ltd. and a merger subsidiary of HCC Healthcare. Under the deal, RFAC III would merge into the subsidiary, which would survive as a wholly owned unit of HCC Healthcare. [01]

The agreement sets a recapitalization that values each HCC Healthcare ordinary share at $10.00 on a $500,000,000 total equity value, fully diluted. Terms weren't disclosed for any other price.
