What happened

SC Branding LLC and Mother Room, LLC entered into an agreement with TPCO Holding Corp. and its subsidiaries to transfer Monogram brand rights, including trademarks, websites and social media accounts.

In exchange, TPCO is to receive 2,255,300 shares of its common stock, a license for continued use of the brand in California and Maryland, and services from SC Branding.
