“Ltd., Shaoxing Yuanfang Semiconductor Co. Ltd., Aura Semiconductor Limited and Aim Core Holdings Limited (collectively, the “ Aura Entities ”) whereby, among other things, SCI LLC will purchase certain assets of the Aura Entities and the Aura Entities will grant SCI LLC an intellectual property license for Vcore power management components and systems (the “ Transaction ”).”
