Semiconductor Components Industries, LLC agreed to acquire Ferric, Inc. in a merger agreement dated Nov. 2, 2026. Ferric will survive the merger as a wholly owned subsidiary of Semiconductor Components Industries, LLC.
The agreement provides for $600.0 million in cash consideration, subject to customary purchase price adjustments. Eligible securityholders may also receive up to an aggregate of $175.0 million in cash tied to revenue milestones. Terms remain subject to closing conditions.
