What happened

Sleep Number Corporation has agreed to sell substantially all of its assets to SNBR, Inc., a subsidiary of Sleep Country Canada Inc., after a court-supervised auction. The amended deal raises the base cash price to $529,500,000, subject to adjustments. [01]

The revised agreement also trims several potential price deductions and removes some pre-closing covenants and closing conditions. A new condition requires Sleep Number to fund a segregated stub rent reserve. The completion of the sale remains subject to bankruptcy court approval and other customary conditions. [01]
