(“ Synopsys ”), ANSYS, Inc., a Delaware corporation (“ Ansys ”), and ALTA Acquisition Corp., a Delaware corporation and a wholly owned subsidiary of Synopsys (“ Merger Sub ”), entered into an amendment (the “ Amendment ”) to the Agreement and Plan of Merger, dated as of January 15, 2024 (the “ Merger Agreement ”), by and among Synopsys, Ansys and Merger Sub.”
