“TL Topco PLC, a public limited company to be incorporated under the laws of England and Wales (“ PubCo ”) and ThomasLloyd Climate Solutions Merger Sub, a Cayman Islands exempted company and wholly owned subsidiary of PubCo (“ Merger Sub ” and, together with PubCo, the “ PubCo Parties ” and each, a “ PubCo Party ”) will become parties to the Business Combination Agreement following the formation of PubCo.”
