What happened

VisionWave Holdings, Inc. has signed a binding agreement to acquire 51% of the share capital of Meteor Aerospace Ltd., an Israeli aerospace and defense developer of unmanned systems and electronic warfare technology. The deal remains subject to closing conditions, including a live flight validation of Meteor's Impact-700 unmanned aerial system and completion of VisionWave's due diligence. [01]

The consideration is valued at approximately $20.4 million, paid partly in unrestricted VisionWave common stock and partly in restricted shares subject to a six-month lock-up. Upon closing, VisionWave would gain control of Meteor's board and its founder, Itzhak Nissan, is expected to remain involved as Chief Technology Director. [01]
