“On April 1, 2026, NFE Power PR LLC (“Seller”), a subsidiary of New Fortress Energy Inc. (the “Company”), entered into an Asset Purchase Agreement (the “Purchase Agreement”) with Macquarie Energy LLC (“Macquarie”), and NFE Turbines LLC (“Lessee”), a subsidiary of the Company, entered into a Master Lease Agreement (together with the applicable schedules, riders and other lease documents, the “Lease”), pursuant to which the parties agreed to consummate a sale and leaseback transaction (the “Sale-Leaseback Transaction”) with respect to certain turbines (the “Equipment”).”
