What happened

Proofpoint, a portfolio company of Thoma Bravo, agreed to buy Varonis, the data and AI security company, in an all-cash deal valued at approximately $6.3 billion. Varonis holders will get $49.75 per share in cash, a 52% premium to the June 22, 2026 close. [01]

The parties expect the deal to close in the first half of 2027, subject to Varonis shareholder and regulatory approvals. Thoma Bravo is providing committed equity financing. Yaki Faitelson is Varonis CEO, Co-Founder and Chairman. [01]
