TPCO entered into a Business Combination Agreement with Gold Flora, Stately, Newco and US Merger Sub on Feb. 21, 2023. The agreement provides for the acquisition of Gold Flora Membership Units in exchange for Resulting Issuer Shares.
The transaction also includes the amalgamation of TPCO, Stately and Newco to form the Resulting Issuer.
