Transom Capital Group will acquire SoundThinking (Nasdaq: SSTI), the Fremont public-safety tech company behind ShotSpotter, through a tender offer at $8.00 cash per share plus a CVR worth up to $3.00, SoundThinking said Sept. 29, 2026. Upfront cash implies about $114 million enterprise value, or about $159 million if the CVR pays in full. Clark is President and CEO. Close targeted for Q4 2026. [01]
