Ozark Holdings to acquire Whole Earth Brands
What happened
Ozark Holdings, LLC agreed to acquire Whole Earth Brands, Inc. under a merger agreement signed on Feb. 12, 2024. Sweet Oak Merger Sub, LLC, a wholly owned subsidiary of Ozark Holdings, LLC, will merge with Whole Earth Brands, Inc., which will survive as a wholly owned subsidiary of Ozark Holdings, LLC.
The agreement provides for cash consideration of $4.875 per share of Company Common Stock. Terms are subject to the conditions set forth in the merger agreement.
