What happened

SomaLogic, Inc. entered into an agreement to merge with Palamedrix, Inc. on July 25, 2022. Palamedrix will become a wholly owned subsidiary of SomaLogic following the mergers.

The upfront consideration includes approximately $14.0 million in cash and $21.0 million in SomaLogic common stock. Certain Palamedrix securityholders may also receive up to an additional $17.5 million in milestone payments.
