What happened

Parent and FONAR have signed a merger agreement. Under it, Merger Sub will merge into FONAR, which will continue as the surviving corporation and become a wholly owned subsidiary of Parent. The common stock will stop trading publicly. Holders of common stock, other than excluded and dissenting shares, will receive cash for each share. [01]

The deal still needs a stockholder vote at a special meeting. Closing depends on the Company Stockholder Approval and the Disinterested Stockholder Approval. The filing describes financing commitments of $35,000,000 from a bank lender, $10,225,000 from debt financing sources and $47,440,504 from equity financing sources, partly in rollover securities. The merger is not conditioned on that financing. FONAR could owe Parent a $450,000 termination fee if it ends the agreement to take a superior proposal. The filing doesn't state a total transaction value. [01]
